Fedo Healthcare Technologies ("Fedo," "we," "us," or "our," and similar terms) offers the "Fedo Vitals" application ("Fedo Vitals") and its associated websites at www.fedo.ai (the "Site"). These tools are designed to assist you in monitoring your vital signs, including but not limited to heart rate, stress, and blood pressure, while also assessing potential health risks such as CVD, CHD, and CKD. Additionally, they aim to help you estimate associated medical costs over the next five years. We collectively refer to the services provided by or through Fedo Vitals and the Site as the "Services."
Prior to using Fedo Vitals, it is crucial that you have read and comprehended these Terms of Use in conjunction with our Privacy Policy.
These Terms of Use, in conjunction with the Fedo Privacy Policy (together, the "Terms," subject to potential future amendments), govern your usage of Fedo Vitals, the Site, and the Services.
General
Before utilizing the Services, please carefully review these Terms. By accessing or using the Services, you acknowledge that you have read, understood, and agreed to be legally bound by these Terms. You also affirm that you possess the necessary legal authority to accept these Terms on your own behalf. If you do not agree to abide by these Terms in their entirety, you are not permitted to use the Services.
Changes and Modifications
We retain the right, at our sole discretion, to modify, discontinue, or terminate the Site, Services, or Fedo Vitals, and to amend these Terms, without prior notice. Unless otherwise specified, any revisions to these Terms will take effect immediately upon posting, and your continued use of the Services following any such changes signifies your acceptance. It is advisable to periodically review the Terms and any associated policies or documents to stay informed about the terms and conditions governing your use of the Services. The Terms will always display the "last updated" date at the top.
If you do not agree with the modified Terms, you must cease using the Services. You can cancel your account with us without further obligation, except for any outstanding amounts due for the remaining billing period following your account cancellation (if your billing period is monthly, we will prorate your account to the nearest month-end after cancellation).
Data Protection
Safeguarding your privacy and personal data is of paramount importance to us. Consequently, we strictly adhere to data protection regulations and retain information only for the duration necessary to fulfill its intended purpose. It is important to note that, at our discretion, we do not store this information.
Eligibility
Our Services are not intended for use by minors. To use the Services, you must be at least eighteen (18) years old. Should we determine that you are under eighteen (18) years of age, we will terminate your use of the Services.
If you plan to use the Services on behalf of an organization, company, partnership, government, or any other entity or organization ("Organization"), this usage must be carried out pursuant to a Services Agreement agreed upon by the Organization, rather than under these Terms.
Accounts
To access the Services, you are required to create a personal account by providing accurate, current, true, and complete information during the registration process (the "Registration Data"). You must promptly update your Registration Data to ensure its accuracy, truthfulness, currency, and completeness.
If you supply Registration Data that is false, inaccurate, outdated, or incomplete, or if we have reasonable grounds to believe that such Registration Data is false, inaccurate, outdated, or incomplete, we reserve the right to suspend or terminate your access to, or use of, the Services
Any account you open with us is personal to you, and you are prohibited from giving, lending, transferring, or otherwise enabling any other individual to access or use your account.
You may be required to create a password and username during the registration process, or you may receive a password and username designation. These passwords or usernames are intended for your exclusive and non-transferable use. It is your responsibility to maintain the confidentiality of your password, and you are fully accountable for all activities occurring under your account. We shall not be held liable for any loss or damage resulting from your failure to safeguard the confidentiality of your account credentials.
You also agree not to utilize another person's or entity's information, including usernames, passwords, or other account details. In the event of unauthorized use of your username, password, or other account information or any other security breach related to the Services, you commit to promptly notifying us. If we suspect any breach of these Terms or a compromise of your account, we reserve the right to immediately suspend, limit, or revoke your access to the Services.
Furthermore, as a condition of using the Services, you are required to:
1. Avoid undermining the security or integrity of Fedo's computing systems or networks, or those of any third-party hosting Fedo Vitals, the Site, or the Services.
2. Refrain from using, or misusing, Fedo Vitals, the Site, or the Services in any manner that might impair their functionality, or the functionality of other systems used to deliver the Services or affect other users' ability to use Fedo Vitals, the Site, or the Services.
3. Abstain from attempting to gain unauthorized access to materials beyond those to which you have received explicit permission or to the computer system hosting Fedo Vitals, the Site, or the Services.
4. Avoid transmitting any files through Fedo Vitals, the Site, or the Services that may damage other individuals' computing devices or software, contain offensive content, or violate any law (including data or material protected by copyright or trade secrets without the requisite rights); and
5. Refrain from attempting to modify, copy, adapt, reproduce, disassemble, decompile, or reverse-engineer any computer programs used for delivering the Services, except to the extent strictly necessary for their normal operation.
Our Content and Intellectual Property
In these Terms, the content, and materials, including but not limited to software, information, data, logos, marks, designs, images, text, graphics, buttons, domain names, meta-tags, and the general visual and structural presentation of the Services (including, but not limited to, Fedo Vitals and the Site) are collectively referred to as "Content."
Except for your User Content (defined below), all Content and software available through the Services or used to create and operate the Services (including Fedo Vitals and the Site), as well as any future updates, upgrades, and new versions, are the property of Fedo or its licensors. They are protected by Indian and international intellectual property laws, and all rights to the Services, Content, and software are expressly reserved. All trademarks, registered trademarks, product names, and company names or logos mentioned within the Services are the property of their respective owners. Fedo reserves all rights to the Content, the Services, Fedo Vitals, and the Site, which are not explicitly granted to you under these Terms. Any reference to products, services, processes, or other information by trade name, trademark, manufacturer, supplier, or otherwise does not imply or constitute endorsement, sponsorship, or recommendation thereof by us.
Subject to your compliance with these Terms, we grant you a personal, non-exclusive, non-transferable, limited license to use the Services, Content, and software, solely for the purpose of using the Services in compliance with these Terms and any other relevant agreements. You may not copy, distribute, display, reverse engineer, disassemble, decompile, or otherwise attempt to derive the source code of any software used to provide the Services. Except as expressly permitted in these Terms, you may not engage in the unauthorized use, modification, or alteration of the Content.
User Content
"Fedo Vitals" provides functionality allowing you to upload or submit information, data, content, or other materials ("User Content"). You retain ownership of your User Content, and Fedo does not claim any ownership rights in your User Content. However, by submitting User Content through the Services, you grant Fedo a worldwide, exclusive, royalty-free, fully paid, sublicensable, and transferable license to use the User Content in connection with the operation and provision of the Services.
By submitting User Content, you represent and warrant that you have the necessary rights to grant the license set out above, and that your User Content does not violate any applicable laws or infringe upon the rights of any third party, including but not limited to copyright, trademark, privacy, publicity, or other personal or proprietary rights.
You are solely responsible for your User Content, and Fedo does not assume any responsibility or liability for any User Content posted by you or any other user. You acknowledge that Fedo does not pre-screen or approve User Content, but that Fedo has the right (but not the obligation) in its sole discretion to refuse, remove, or modify any User Content that is available through the Services.
Prohibited Activities
While using the Services, you must not engage in any of the following activities:
1. Violate any applicable laws or regulations or promote any illegal activities.
2. Infringing upon the rights of others, including but not limited to intellectual property rights, privacy rights, or publicity rights.
3. Upload, post, transmit, or disseminate any content that is harmful, offensive, defamatory, vulgar, obscene, or otherwise objectionable.
4. Engage in any form of harassment or cyberbullying.
5. Upload, post, or otherwise make available any content that contains viruses, malware, or any other harmful software.
6. Use the Services to impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with any person or entity.
7. Attempt to gain unauthorized access to any portion or feature of the Services or any other systems or networks connected to the Services, or to any server used by Fedo, or to any of the services offered on or through the Services, by hacking, password "mining," or any other illegitimate means.
8. Use any automated system, including "robots," "spiders," "offline readers," etc., to access the Services in a manner that sends more request messages to the Fedo servers than a human can reasonably produce in the same period using a conventional web browser.
9. Interfere with or disrupt the Services or servers or networks connected to the Services, or disobey any requirements, procedures, policies, or regulations of networks connected to the Services.
10. Modify, adapt, sublicense, translate, sell, reverse engineer, decompile, or disassemble any portion of the Services or Content.
11. Remove any copyright, trademark, or other proprietary rights notices contained in or on the Services or Content.
Termination
Fedo reserves the right, at its sole discretion, to suspend, deactivate, or terminate your access to the Services, including Fedo Vitals and the Site, at any time and for any reason, without prior notice or liability to you. You may also terminate your account at any time by contacting us or by using the account cancellation option provided in your account settings.
Upon termination, all licenses and other rights granted to you in these Terms will immediately cease. Fedo is not liable to you or any third party for any termination of your access to the Services.
Indemnification
You agree to indemnify and hold harmless Fedo, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from your violation of these Terms or your use or misuse of the Services, including but not limited to any User Content you submit, your violation of any law, or your infringement of any third-party rights.
Waiver and Severability
The failure of Fedo to exercise or enforce any right or provision of these Terms will not constitute a waiver of such right or provision. If any provision of these Terms is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and the other provisions of these Terms remain in full force and effect.
Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Fedo with respect to the Services and supersede all prior or contemporaneous communications and proposals, whether oral, written, or electronic, between you and Fedo with respect to the Services.
